Terms of Service

1. Acceptance of Terms

By registering for or using Moonshop, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of yourself or your firm, and agree to be bound by these Terms and our Privacy Policy.

If you are accepting these Terms on behalf of a firm or organisation, you represent that you have the legal authority to do so.

2. Description of Service

Moonshop provides a cloud-based platform that allows AEC professionals to:

• Upload IFC (Industry Foundation Classes) building model files
• Run automated carbon analysis using embodied carbon databases (ICE v3.0)
• Generate sustainability reports and PDF exports
• Access benchmarking against RIBA, LETI, and industry standards

We may modify, expand, or discontinue features at our discretion. We will give reasonable notice of material changes.

3. Your Account

You must provide accurate, complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at hello@moonshop.app if you suspect unauthorised use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Data Ownership — Your Files Are Yours

Specifically:

• All IFC files you upload remain your property (or that of your firm/client)
• All carbon analysis results, reports, and exports you generate are yours
• We process your files solely to provide the service to you
• We will not use your project-specific data to train AI models or sell to third parties

By uploading content to Moonshop, you grant us a limited, non-exclusive licence to store and process that content for the sole purpose of delivering the service to you. This licence ends when you delete your data or close your account, subject to any retention requirements described in our Privacy Policy.

5. Acceptable Use

You agree to use Moonshop only for lawful purposes and in accordance with these Terms. You must not:

• Upload files containing malware, viruses, or malicious code
• Attempt to circumvent usage limits, quotas, or access controls
• Reverse-engineer, decompile, or disassemble any part of our platform
• Use automated scripts or bots to access the service beyond our API (if applicable)
• Upload content that infringes third-party intellectual property rights without authorisation
• Share your account credentials with others outside your firm
• Use the platform for any purpose that violates applicable UK or EU law

We reserve the right to suspend accounts that we reasonably believe are in violation of these rules.

6. Subscription Plans and Payment

Moonshop offers free and paid subscription plans. Paid plans are billed monthly or annually as chosen at signup. All prices are in GBP (£) and exclusive of VAT where applicable.

• Subscriptions auto-renew unless cancelled before the renewal date
• You may cancel at any time; access continues until the end of the current billing period
• We do not issue refunds for partial billing periods except where required by law
• We reserve the right to change pricing with at least 30 days' advance notice

Free tier analyses are retained for 30 days. Paid plans retain analyses indefinitely unless you delete them.

7. Intellectual Property

Moonshop and its underlying technology, algorithms, software, and platform design are owned by us and protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of our intellectual property to you.

The ICE (Inventory of Carbon and Energy) database used for carbon factors is licensed from the University of Bath. Results produced by Moonshop using these factors are your outputs, not our intellectual property.

8. Service Availability

We aim to provide a reliable service but cannot guarantee 100% uptime. The platform is provided "as is" without any warranty of continuous, uninterrupted availability.

We may perform scheduled maintenance, which we will communicate in advance where possible. Emergency maintenance may occur without notice.

We are not liable for any loss resulting from temporary unavailability of the service.

9. Accuracy of Analysis Results

Moonshop's carbon analysis is based on automated processing of your IFC files using published embodied carbon databases. Results are intended as a professional tool to support — not replace — the judgement of qualified engineers and sustainability consultants.

Factors that may affect accuracy include: unrecognised material types, incomplete IFC geometry, non-standard property naming conventions, and limitations of the underlying carbon database.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform
• Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss resulting from inaccurate analysis results, failure to meet regulatory requirements, or decisions made based on our outputs

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.

11. Account Termination

By you: You may close your account at any time by emailing hello@moonshop.app. Upon closure, your data will be deleted within 30 days, except where we are required to retain it by law.

By us: We may suspend or terminate your account if you breach these Terms, fail to pay, or if we reasonably believe continued access poses a security risk. We will give you reasonable notice where possible.

On termination, all licences granted to you under these Terms will cease, and you must stop using the service.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or a prominent notice in the application at least 14 days before the changes take effect.

Your continued use of the service after the effective date constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
